By accessing our website, engaging our services, or communicating with our team, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should not use our services or website.

Ananta Legal provides specialized legal services in Thailand covering:

  • • Mergers and acquisitions legal support including due diligence, transaction structuring, and regulatory filings

Services are provided subject to availability and acceptance of engagement. We reserve the right to decline representation if conflicts of interest exist or if we determine we cannot adequately serve your needs.

4. Engagement and Scope

Legal representation begins only after both parties have signed an engagement letter or service agreement. The scope of services, fees, and responsibilities will be clearly defined in the engagement documentation.

Initial consultations do not establish an attorney-client relationship unless explicitly agreed. Information shared during preliminary discussions should not be considered confidential legal advice until formal engagement.

5. Client Responsibilities

Clients engaging our services agree to:

  • • Provide accurate, complete, and timely information required for service delivery
  • • Respond promptly to requests for documentation or clarification
  • • Comply with all applicable Thai laws and regulations
  • • Pay agreed fees according to the payment terms specified in the engagement agreement
  • • Inform us immediately of any changes in circumstances affecting the matter
  • • Maintain confidentiality of sensitive information shared during the engagement

Failure to fulfill these responsibilities may affect our ability to provide services effectively and could result in delays or additional costs.

6. Fees and Payment

Service fees are specified in the engagement agreement and may be structured as fixed fees, hourly rates, or project-based pricing depending on the nature of services. All fees are quoted in Thai Baht (฿) unless otherwise specified.

Payment terms include:

  • • Advance payment may be required for certain services before work commences
  • • Invoices are payable within 14 days of issuance unless alternative terms are agreed
  • • Late payments may incur interest charges as permitted by Thai law
  • • Government filing fees, translation costs, and other third-party expenses are additional to our professional fees

Fee estimates provided during initial consultation are subject to change based on actual scope and complexity. Significant variations will be communicated and agreed upon before additional work is performed.

7. Intellectual Property

All materials, templates, frameworks, and methodologies developed by Ananta Legal remain our intellectual property. Clients receive a limited license to use documents and materials we prepare specifically for their matters, solely for the intended purposes.

Clients may not reproduce, distribute, or commercialize our proprietary materials without written permission. Generic legal documents and templates provided during consultations are for client use only and should not be shared with third parties as our work product.

8. Confidentiality

We maintain strict confidentiality of all client information in accordance with professional legal ethics and Thai law. Details of our confidentiality obligations and practices are outlined in our Privacy Policy.

Clients should be aware that certain information may need to be disclosed to government authorities, courts, or regulatory bodies as required by law or necessary for service delivery. We will inform clients when such disclosure is required unless prohibited by legal obligations.

9. Disclaimers

While we strive to provide high-quality legal services, the following disclaimers apply:

  • • Services are provided based on our understanding of current Thai law and regulations, which may change
  • • We cannot provide certainty regarding outcomes of legal processes, government approvals, or third-party decisions

10. Limitation of Liability

To the maximum extent permitted by Thai law, our liability for any claims arising from services provided is limited to the fees paid for the specific matter giving rise to the claim.

We are not liable for indirect, consequential, or punitive damages including but not limited to lost profits, business interruption, or reputational harm. This limitation applies regardless of the legal theory under which liability is claimed.

Nothing in these terms limits our liability for fraud, willful misconduct, or other matters where limitation of liability is prohibited by law.

11. Termination

Either party may terminate the engagement subject to the following conditions:

  • • Clients may terminate services at any time with written notice
  • • We may withdraw from representation if continuation would violate professional obligations or if payment obligations are not met
  • • Upon termination, clients remain responsible for fees incurred up to the termination date
  • • We will provide reasonable assistance with transition to new counsel if requested
  • • Client documents and materials will be returned upon settlement of outstanding fees

12. Dispute Resolution

Any disputes arising from these Terms and Conditions or our services shall be resolved as follows:

  • • Initial attempt at informal resolution through direct communication
  • • If informal resolution fails, disputes may be submitted to mediation before an agreed neutral third party
  • • Legal proceedings, if necessary, shall be conducted in Thai courts located in Chonburi Province

These Terms and Conditions are governed by the laws of Thailand. Both parties submit to the exclusive jurisdiction of Thai courts for resolution of disputes.

13. Website Use

Users of our website agree to:
